Course Description

Over the past several years, the U.S. Antitrust Agencies—the Department of Justice (DOJ) and Federal Trade Commission (FTC)—have intensified their focus on how certain employment-related practices may impact competition and violate antitrust laws.

Initially, the FTC targeted restrictive covenants in employment agreements, including:

  • Seeking to ban virtually all non-compete agreements, though this ban was halted by a national injunction.
  • Challenging no-poach and non-solicitation agreements, although courts have generally rejected the Agencies’ argument that these agreements are inherently anti-competitive.

In light of these setbacks, the FTC and DOJ have shifted their focus to information sharing between competitors.

This scrutiny not only applies to the sharing of business information, such as costs and pricing, but also extends to the sharing of employment terms, including wages and benefits.

Additionally, the FTC and DOJ are paying increased attention to the effects of mergers and acquisitions on labor markets.
